IT and SaaS: structure, tax, IP and investment for product and service companies
Product teams, outsourcing and outstaffing, SaaS with customers in the EU and the US. We decide where the company should sit, how to charge VAT to EU customers, who owns the code, and how to prepare the company for a round so the investor does not rewrite the structure.
The tasks clients came to us with
SaaS with EU customers: VAT, Diia City and the founder’s residency
A team in Ukraine sold subscriptions to EU customers through an Estonian OÜ, but was not registered for VAT and had no contract with the Ukrainian team. We registered the OÜ in the OSS, set up the Ukrainian company as a Diia City resident under a development agreement, and calculated the founder’s tax on dividends. The result: correct VAT in 27 countries through one return, and a clear annual tax calendar.
Preparing for a seed round: a flip into a Delaware C-Corp with the IP inside the structure
A US fund set a condition: a Delaware holding with all rights to the code inside it. We flipped the Cypriot company under a new Delaware C-Corp, assigned the IP, and drafted the SAFE and the ESOP pool to the investor’s requirements. The round closed five weeks after the term sheet.
An outsourcing company: part of the team relocates, two entities instead of one
After half the team moved to Poland, the UK company kept paying tax for people who now worked from another country. We set up a Polish sp. z o.o. for the team, redid the employment and B2B contracts, and rebuilt the client contracts across two entities. No permanent establishment arose in Poland, and the payroll burden came down.
What exactly we do for IT and SaaS
Structuring
Where the company sits, where the team is and where the IP lives are three different questions.
Tax
VAT, corporate income tax and the founder’s taxes in one model.
Accounts and payments
A bank or EMI that accepts a subscription business model.
Investment
A round that does not require rewriting the company afterwards.
Contracts
Client, team and contractor agreements that follow one logic.
Intellectual property
Code, brand and data where they can be protected and sold.
