Terms of Engagement
These terms apply to every engagement with Corpus Law Firm unless an engagement letter says otherwise. Where they conflict, the engagement letter prevails.

How an engagement starts
An engagement begins when you accept our written proposal or engagement letter, which sets out the scope, the fee, the timeline and what we need from you. Until then, anything we say in a call or an email is general information, not advice you may rely on.
Before we start we complete client due diligence under our KYC / AML Compliance Statement and Client Acceptance Policy. We may decline or pause an engagement if we cannot complete it.
Fixed fees
Where we quote a fixed fee, it covers the scope described in the proposal and nothing else. It includes our professional time, standard correspondence with the regulator, bank or registry, and one round of revisions on documents we draft. It excludes government and registry fees, bank charges, notary, apostille and translation costs, local counsel fees in other jurisdictions and courier costs, which we list separately and pass through at cost. Work outside the scope is quoted separately before we do it.
Timelines
Timelines in a proposal are our estimates based on current practice. They start when we have received your documents and the first payment. Regulators, banks and registries decide at their own pace; a delay on their side is not a breach on ours, but we tell you as soon as we know of one and what it means for the plan.
Payment
Fixed fees are payable 50% on acceptance and 50% on delivery, unless the proposal says otherwise. Third-party costs are invoiced as incurred or in advance where a payment to a registry or regulator is due. Invoices are due within 7 days. We may suspend work on overdue invoices.
Refunds
If you end the engagement before we have started substantive work, we refund the fee less any third-party costs already paid. Once work has started, we refund the portion of the fee attributable to work not yet done, as reasonably assessed by us. Fees are not refundable because a regulator, bank or government declines an application that we prepared properly; our obligation is the quality of the work, not the third party’s decision.
Your responsibilities
You provide accurate and complete information and documents, tell us promptly about changes, and make decisions when we need them. You remain responsible for the commercial decisions you take on our advice and for filings and payments that are yours to make.
Our responsibilities and liability
We act with the care and skill expected of a competent adviser in this field. Our advice is given for your use in the matter described; it may not be relied on by others or for other purposes without our agreement. Our total liability for an engagement is limited to the fees paid for it, except for liability that cannot be limited by law. We are not liable for indirect or consequential loss.
Confidentiality
We keep your information confidential and use it only for the engagement, subject to disclosures required by law (including anti-money-laundering reporting). Our Privacy Notice describes how personal data is handled.
Communication
We communicate by email and messaging apps unless you ask otherwise. Email is not fully secure; we offer a secure upload link for sensitive documents.
Ending the engagement
Either party may end an engagement on written notice. We may end it immediately if due diligence cannot be completed, a conflict of interest arises, an invoice is overdue, or continuing would breach the law or our policies. On ending, fees for work done to date are payable and we hand over your documents.
Law and disputes
The engagement letter states the governing law and dispute-resolution forum. Where it is silent, Ukrainian law applies and disputes go to the competent court in Kyiv. We try to resolve any complaint directly first; write to info@corpus.expert and we reply within 10 working days.
